Walter Baden is pleased to have been part of the team of advisers assisting POP Group on a significant investment by New Zealand-based private equity fund, Direct Capital.  POP Group is a leading provider of M&A and specialist insurance underwriting services providing innovative and technology-driven solutions.

Walter Baden advised on a pre-investment restructure of the POP Group, including a roll up of its Fusion and io.insure operating entities under a single parent company in advance of the Direct Capital investment. The WB team, including Steven Humphries and Kien Ng, led negotiation of a new shareholders’ agreement and development of the group’s incentive scheme. On this project Walter Baden collaborated closely with POP Group’s tax, corporate and other legal advisers on investment aspects of the project, which was transaction by a partial sell-down and simultaneous capital raise.
